Terms of Service
Last updated: September 2, 2026
These Terms of Service (“Terms”) govern your access to and use of VendorGuard, available at vendorguard-v1.vercel.app and any successor domain (the “Service”). By creating an account or using the Service, you agree to these Terms. If you're using the Service on behalf of an organization, you confirm you have authority to bind that organization, and “you” refers to both you and it.
1. The Service
VendorGuard helps you submit, track, and verify licenses, credentials, and vendor certifications, and builds a timestamped audit trail of those checks. Some verification steps in the Service are currently performed through manual review rather than a fully automated check against every issuing board — where that's the case, the Service labels it clearly rather than presenting a manual result as an automated one.
2. Not a substitute for your own compliance judgment
VendorGuard is a tool to help you track and organize verification work — it does not provide legal advice, and a status shown in VendorGuard is not a guarantee that a license, credential, or vendor is currently valid, in good standing, or compliant with any particular law or regulation. You remain responsible for your organization's compliance obligations and for independently confirming anything critical to a legal, regulatory, or safety decision.
3. Accounts
You're responsible for the accuracy of the information you submit, for keeping your login credentials secure, and for activity that happens under your account. Tell us right away if you suspect unauthorized access.
4. Subscriptions and billing
Paid plans (currently Standard and Pro) are billed monthly through Stripe at the price shown at checkout. Enterprise pricing is negotiated separately and billed annually per the agreement you sign with us. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
You can cancel a self-serve subscription at any time from the billing portal; cancellation takes effect at the end of the current billing period, and we don't provide prorated refunds for partial periods except where required by law. We may change pricing for future billing periods with reasonable notice.
5. Acceptable use
You agree not to:
- Submit credential or vendor data you don't have a legitimate right or need to process;
- Use the Service to store or transmit unlawful, fraudulent, or knowingly false verification records;
- Attempt to access another account, probe the Service for vulnerabilities, or interfere with its normal operation; or
- Reverse-engineer the Service or resell access to it without our written consent.
6. Your data
You retain ownership of the credential, vendor, and organizational data you submit. You grant us the limited right to process, store, and display that data as needed to operate the Service for you. See our Privacy Policy for how we handle it.
7. Termination
You can stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, misuse the Service, or fail to pay for a subscribed plan after a reasonable notice period. On termination, your right to use the Service ends, though provisions that by their nature should survive (such as payment obligations already owed and Sections 2, 8, and 9) will continue to apply.
8. Disclaimers and limitation of liability
The Service is provided “as is” without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, VendorGuard will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business arising from your use of the Service, even if advised of the possibility. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.
9. Governing law
These Terms are governed by the laws of the jurisdiction in which VendorGuard operates, without regard to conflict-of-law principles.
10. Changes to these Terms
We may update these Terms as the Service evolves. We'll update the “Last updated” date above when we do, and for material changes we'll make a reasonable effort to notify active account holders by email. Continued use of the Service after a change takes effect means you accept the updated Terms.
